CONSTITUTION & BY - LAWS OF THE LAW ENFORCERS
KARATE CLUB INTERNATIONAL, INC.
ARTICLE I: Name, Purpose, & Offices
Sec. 1. – Name - The name of this organization shall be the Law Enforcers Karate Club, International, hereafter referred to as LEKCi.
Sec. 2. – Purpose - The purpose of this organization shall be an “ASSOCIATION” and a non-for-profit organization to provide funding for the purpose of supporting sports karate and other martial arts affiliated thereon, sports enthusiasts and promote camaraderie within the LEKCi community.
Sec. 3 – Offices – The principal office of the Incorporation shall be located temporarily at # 323 Holland Street, Better Living Subdivision, Paranaque City, Metro Manila, Philippines, Zip Code1702 until a new location is found.
Sec. 4. – Affiliations – This organization is affiliated to any organization voted by the officers and members of this organization. As of now LEKCi has an active affiliation with Funakoshi Shotokan Karate Association (FSKA) based in Milpitas, California, USA. The FSKA affiliation is started December of 2019. The FSKA Renewal is yearly and will renew this coming December 2020.
ARTICLE II: Members / Membership
Sec. 1. – Place of Meetings – All meetings of the members shall be held at the principal office of the Incorporation at #323 Holland Street, Better Living Subdivision, Paranaque City, Metro Manila, Philippines, Zip Code is 1702.
Sec 2. – Annual Meetings – The annual meeting of the members shall be held on the 1st Saturday of January of each year, if not legal holiday, and if a legal holiday, then on the next business day following, or at such other time and date as determined by the Board of Directors upon prior written notice.
Sec. 3. – Special Meetings – Special meetings of the members for any purpose may be called by the Chairman of the Board or the President or by the order of the majority of the members of the Board, or upon written request of at least 2/3 of the members.
Sec. 4. – Notices – Notice of meetings written or printed for every regular or special meeting of the members shall be given by mailing the same to each member not less than ten 10) days prior to the date set for such meeting.
Sec. 5. – Voting – At every member’s meeting, each member shall be entitled to one vote, however, that in the election of directors, each member with voting privilege shall be entitled to cumulate his/her vote in the manner provided by law. No proxy allowed to vote.
Sec. 6. – Quorum – A member’s meeting shall be competent to decide any matter or to transact any business, except in those cases in which the Corporation Code, or the Articles of Incorporation or these by-laws require the affirmative vote of a greater proportion, in which case the quorum shall be no less than said greater proportion.
Sec. 7. – Minutes – The minutes of all meetings of the members shall be kept and carefully preserved as a record of the business transacted at such meetings. The minutes shall contain such entire as may be required by law.
Sec. 8. – Consist of – Most of the membership of this organization shall consist of the LEKCi community, Founders, President, Vice President, Secretary-General, Auditor, Treasurer, Coordinators, and Sports Committee Officer.
Sec. 9. – Discriminations – This organization and its officers shall not discriminate against any individuals for reasons of race, national origin, color, religion, gender, age, veteran status, sexual orientation, other martial arts association, and/or ability status.
Sec. 10. – Members Acceptance – Officers and Members of this group shall be open to all interested individuals or parties or groups but subject for interview by the Founders/Chief Instructor of a DOJO, the Officers or HR Manager of this organization.
Sec. 11. – Members Selection – The procedure for selection of members or officers shall be appointed after the interview by the President/Founders/Officers/Human Resource Manager.
Sec. 12. – Member’s Dues – Dues for this organization’s membership shall be determined yearly with monthly fee.
Sec. 13. – Members Responsibilities – Members responsibilities shall include participation during tournament/s, general meetings, or any Law Enforcers Karate Club International, Inc., events.
Sec. 14. – Members Termination - Officers and member’s membership shall be terminated by illegal acts such as stealing of an association funds, illegal use and selling of drugs, discriminating individual, sexual harassment, and other known illegal activities as well as disloyalty, disrespectful, wearing different patch/es without asking permission from the LEKCI Founders/current President or Chairman of the Board of Directors, and intentionally forgetting the obligation to report any illegal activities done by immediate officers, seniors or buddies/friends/relatives inside the LEKCI Community/Organization/Association. Also. If a Group or an Individual LEKCI members ask permission or their own free-will to be transferred to other Club or Organization, then a “Termination Letter” will be issued.
Sec. 15. – Members Termination by Instigation – Instigating a fellow member inside the LEKCI community to transfer to another club or organization is a ground for termination unless proven not guilty. Founder/s or officer/s or co-member/s will be subject for termination if he or she instigates a co-member, co-founder or co-officer.
ARTICLE III: Directors
Sec. 1. – Number, Qualification, and Term – The corporate powers of the Incorporation shall be exercised and the property and business of the corporation shall be managed by its Board of Directors consisting of eighteen (18) members, who shall be elected at the annual meeting of the members to serve for a term of one (1) year and until the election and qualification of their successors.
A director shall possess all the qualifications, and none of the disqualifications, prescribed by applicable laws, rules, and regulations.
Sec. 2. – Vacancies – Vacancies in the Board of Directors except by removal or expiration of term, may be filled by the majority vote of the Board of Directors still constituting a quorum at the special meeting called for the purpose and the directors so chosen shall serve for the unexpired term.
Sec. 3. – Meetings – The Board of Directors shall hold a meeting for organization immediately, after its election, of which meeting no notice shall be required. Thereafter, the Board of Directors may hold regular meetings at such time and intervals as the Board may fix by resolution. Special meetings of the Board of Directors may be called at any time by the Chairman of the Board or by the President or by the Secretary upon the written request of the majority of the Board. Notices of all special meetings of the Board shall be mailed or relay to each director at least two (2) days prior to the date of meeting. No notice need be given for the regular meetings of the Board of Directors to be held at the time and place previously fixed by the Board.
Sec. 4. – Place of Meeting – The directors may hold their meetings at the principal office of the corporation or such other places, either within or without the Philippines, as they may from time to time by resolution determine.
Sec. 5. – Quorum – The directors shall act as a Board, and the individual director shall have no power as such. A majority of the directors shall be necessary at all meetings to constitute a quorum for the transaction of any business, and every decision of a majority of such quorum duly assembled as a Board shall be valid as a corporate act.
Sec. 6. – General Powers – The Board of Directors shall have the management of the business and properties of the corporation and may exercise all the powers of the corporation and do all such lawful acts and things as are necessary and not prohibited by law.
Sec. 7. – The Board of Directors – The Board of Directors composed of:
(a) Advisers (HQ and Chapter),
(b) Founders (HQ and Chapter),
(c) Executive Officers (HQ and Chapter),
(d) Chairman, Committee on Sports, and
(e) Chairman, Committee on Fundraising.
Article IV: Law Enforcers Karate
Club International’s Bill of Rights
Sec. 1. – All LEKCi Members have rights.
Sec. 2. – All LEKCi Members have rights and need to be treated equally.
Sec. 3. – All LEKCi Members have the rights to vote.
Sec. 4. – All LEKCi’s Members’ rights need to be protected and by confidentiality.
Sec. 5. – All LEKCiMembers have the rights to be heard.
Sec. 6. – All LEKCI Members have the right to prepare documentation evidence to prove not guilty of wrongdoing mentioned in the LEKCi Constitution and by-Laws.
Sec. 7. – All LEKCi Members have the rights to respect diversity. LEKCi is a diverse community.
Sec. 8. – All LEKCi Members have the rights to be granted an absence during the mandatory training, seminar, and other related association’s events/activities provided an absentee will furnish a written copy of why he or she cannot attend an event.
Sec. 9. – All LEKCi Members have the right to privacy in case of sensitive deliberation of the case, whatever it was.
Sec. 10. – All LEKCi Members have the right to be brought to the clinic or hospital in case of sustained injury from training, tournament, or any events.
Sec. 11. – All LEKCi Members have the right to be informed of LEKCi “FUNDS,” or have the right to see the transparency of financial matters.
Sec. 12. – All LEKCi Members have the rights to be educated in Martial arts ideology, principles, values, and other known LEKCi principles.
Sec. 13. – All LEKCi Members have the right to be given a rest time of 10 minutes IN EVERY 3 HOURS during training, seminar, and martial arts events/learning.
Sec. 14. – All LEKCi Members have the rights not to be punished by unusual punishment such as hazing, hard labor, cruelty, and embarrassment in front of the students, meetings, or in any events.
Sec. 15. – All LEKCi Members have the right to exercise their own religion, nor discriminate against any members’ religion affiliation, whatever it was.
Sec. 16. – All LEKCi Members have the rights to complaint any individuals for reasons of race, national origin, color, religion, gender, age, veteran status, sexual orientation, other Martial arts association maltreatment, and/or ability status.
Sec. 17. – All LEKCi Members have the right to be taught and educated in the right manner.
Sec. 18. – All LEKCi Members have the rights to be awarded such as a certificate, diploma, trophy, medal, etc., or whatever is available after a member passed the qualification of any wins or promotions.
ARTICLE V: Officers and Agents
Sec. 1. – Election and Appointment – Election and Appointment – The officers of the corporation shall be elected by the Board of Directors at their first meeting and annually thereafter. There shall be a Chairman, a President, Vice-President, a Secretary, and a Treasurer, and sch other officers as the Board may deem necessary and proper.
The Chairman of the Board and the President shall be directors. Other officers need not be directors or members, any two or more positions may be held concurrently by the same officers except that no one shall act as President and Secretary or as President and Treasurer at the same time.
Sec. 2. – Powers, Duties, and Obligations – The Board of Directors may prescribe the powers and duties of officers of the corporation in the management of its property and affairs, where such powers and duties are not prescribed by these by-laws.
Sec. 3. – Chairman of the Board- He shall preside at all meetings. He shall have the power to sign or countersign, as may be necessary all such bills, notes, checks, and contracts as may pertain to the ordinary affairs of this corporation. He shall have other powers as the Board may prescribe.
Sec. 4. – President – He shall exercise general supervision and administration over all the affairs of the corporation, in addition to such other duties as may be prescribed by the Board Directors.
In all cases where, and to the extent that, the duties of the other officers of the corporation are not specifically prescribed by these by-laws, or by rules and regulations of the Board of Directors, the President may prescribe such duties.
The President shall also have the power to sign or counter as may be necessary all such bills, notes, checks, and contracts as may pertain to the ordinary business affairs of the corporation and all other instruments of special nature.
President- The LEKCi President shall be the primary leadership and make plans for present and future activities such as tournaments/seminars/training/promotion/ meetings or any gatherings relevant to LEKCi activity.
Sec. 5. – Vice-President – The Vice-President, if qualified, shall in the absence of disability of the President, perform the duties and exercise the powers of the President and shall have such other powers as the Board of Directors shall from time to time prescribed.
LEKCi Vice President- Other than to succeed to the presidency upon the death or resignation of a president, a vice president's only constitutional duty is to preside over the absence of the President.
Sec. 6. – Secretary – The Secretary who shall be a citizen and a resident of the Philippines, shall attend all the meetings of the members and Board of Directors, and shall act as Secretary thereof and record the minutes of all proceedings in a book to be kept for the purpose and shall perform like duties for any committee of the Board when required. S/he shall keep in a safe custody the seal of the corporation and affix it when required to any instrument. The Board of Directors may appoint an Assistant Secretary or Members Officer who shall perform the functions of the Secretary in case of the latter’s absence of incapacity.
LEKCi Secretary-General will assist the President, attend meetings, coordinate with other officers in the absence of the President.
Sec. 7. – Treasurer – The Treasurer who must be bounded, shall have the custody of all the corporate funds or monies and shall keep full and accurate accounts of all receipts and disbursements in books belonging to the corporation and shall deposit all monies and other valuable effects in the name and to the credit of the corporations in such banks as may be designed by the Board. He should render to the President and the Board, whenever they require, an account of all the transactions as Treasurer and of the financial condition of the corporation.
LEKCi Treasurer shall collect fees and maintain receipts.
Sec. 8. – Other Officers – All other officers shall have such duties and exercise such powers as generally pertain to their respective offices, as well as such duties and such powers as may from time to time prescribed by the Board (See Set of Officers 2019 & Job Description).
Sec. 9. – The qualification – The qualification for each officer depends on his/her knowledge of LEKCi activity.
Sec. 10. – The term – the term of each officer shall be ten (10) -years term, and the out-going officers to include the President will not endorse any presidency or officer aspiring to avoid controversy.
Sec. 11. – Vacancy – Should an officer’s position become vacant, the LEKCi constituent/community will be notified immediately for the members a chance to apply and be interviewed by the LEKCi Pres./Founder/HR Manager.
Sec. 12. – Selection– The selection of officers shall be done through application and interview by LEKCi President/Founder/HR Manager.
Sec. 13. – Removal – The provisions for removal of an officers include illegal acts punishable by the Philippine law, LEKCi Constitution, and by-laws.
Article VI: Selection of Advisers
Sec. 1. – Advisers - Our HQ’s and Chapters’ advisers are the choice of any Chapter’s President/Founder/Chief Instructor.
Sec. 2. – Duties & Responsibilities– The duties and responsibilities of the adviser shall guide the President and Officers in the right manner.
Sec. 3. – Vacancy – Should the position of adviser become vacant during the year by death or any other reasons, the Executive Officer will take over in accordance with LEKCi policies.
Sec. 4. – Removal – The provision of removal of an advisor is death or resignation in the form of a letter.
Article VII: Working Committee
Sec. 1. – Committee – All temporary or permanent committees shall be formed by the LEKCi President/Founder/Human Resource Manager (HR).
Sec. 2. – Designations – All Committees shall be formed by the President/Founder/Human Resource Manager (HR)/ or Board of Director.
Sec. 3. – LEKCI PNP SAF Batch 91 Chapter– The LEKCI PNP SAF Batch 91 Chapter will work as the Sgt-at-Arms Committee during organizational events such as tournaments, inductions of officers, community services, and others. They will be put under the Sgt-at-Arms officers designated by the President of the organization. The primary duty of the PNP SAF Batch 91 Chapter is to investigate any Lekci violators by the instructions of the President or Board of Directors. Secondary duty is the security of LEKCi personnel during planned events, tournament participants, and other events sponsored or conducted by the organization.
Article VIII: Martial arts group / LEKCi Groups
Sec. 1. – Groups – Other Martial arts group who joined the LEKCi are mandatory to wear LEKCi patch and their group name, a Rectangular TAB to be sewn underneath of the LEKCi patch or sewn inside or outside or separate patch of the LEKCi patch.
Sec. 2. – Group Rules – Martial arts or Lekci groups shall follow two (2) separate rules which are:
(a) One (1) for LEKCi rules and
(b) One (1) for their rule.
For example:If a Taekwondo group/team joined the LEKCi they are obligated to follow LEKCi rules and Taekwondo rules, the same as Judo group/team, Arnis group/team, Karate group/team, Jujuitsu group/team, Pencak Silat group/ team, Muay Thai/Kickboxing group/team, or any other group joining the Lekci community.
Sec. 3. – Name of Group – Other Martial arts who joined LEKCi will be called LEKCi – Judo Team with a Judo Team TAB (only for blackbelt) sewn underneath the LEKCi patch located at the left chest, same with the Taekwondo Team (Taekwondo Expert Tab for blackbelt only), Arnis Team (Arnis Expert Tab for blackbelt), and Pincak Silat Team (Pincak Silat Expert or Coach for blackbelt only or higher rank in Pencak Silat), or to any other field of Martial arts.
Sec. 4. – Setting/Set-Up – The setting is shown below:
(a). LEKCi – Arnis Team (only blackbelt in Arnis can wear tabs)
(b). LEKCi – Judo Team (only blackbelt in Judo can wear tabs)
(c). LEKCi – Law Enforcers Pencak Silat Team (only blackbelt/higher rank)
(d). LEKCi – Taekwondo Team (only blackbelt T can wear tabs)
(e). LEKCi – Muay Thai Team (only blackbelt/higher rank can wear tabs)
(f). LEKCI – Karate Team (only blackbelts are authorized to wear tabs)
Sec. 5. – Group Recruitment – The LEKCi team recruitment or group membership remained open.
Article IX: GI Uniform, Patches, Documents
Sec. 1. – Uniform – All LEKCi Members shall wear a white GI uniform with LEKCi Patch at LEKCi Dojo.
Sec. 2. – LEKCi Abroad – All LEKCi abroad shall wear a white GI uniform with LEKCi patch and affiliated organization/association patch only in Lekci Dojo, Lekci Tournament (invitational), Lekci events, Lekci Promotions, and other Lekci activities.
Sec. 3. – Members Visitation – All LEKCi Members who are visiting abroad shall have two (2) sets of uniform; one (1) GI uniform with LEKCi patch and one (1) GI uniform with an affiliated organization’s patch.
Sec. 4. – Control and Proper Accountability – All LEKCi patches and uniforms should be controlled by the HQ’s for proper accountability.
Sec. 5. – Patches & Documents – All LEKCi patches, certification, diploma, etc., are controlled by serial numbers Information below are the following:
(a) LEKCi HQs & Chapters (Philippines) – Serial No. from 01 – 2000,
(b) LEKCi California Chapters – Serial No. from 2001 – 4000,
(c) LEKCi Jeddah – Serial No. from 4001 – 6000, and so on.
Sec. 6. – Wearing of LEKCI / FSKA Patches– All LEKCi Community will always wear a designated or organizational or affiliates patches during training, events, promotions, and tournaments. LEKCI community or Groups or an individual if invited by other Clubs or any organizations will ask permission from the LEKCI Founders or present President for “RESPECT”. This is to avoid misunderstanding between the invited groups or an individual and the LEKCI Founders or President or the Chairman of the Board. Proper authority means are the Founders and the present President. If proven, the groups or an individual will face a deliberation resulting to the termination from the LEKCI association/organization.
Article X: FUNDS
Sec. 1. – Funds Declarations – The priority of the President and his/her officers is to declare every 6 months the LEKCi Funds receives from student fees, registration and membership fees, profits from LEKCi souvenir’s such as Mugs-shirts, Hoodies, articles, uniforms, tournaments proceeds, and “Affiliation fees from other countries.” Proper Funds Accountability, Reports, and Financial Statements are necessary and MANDATORY for S.E.C and auditing purposes.
Sec. 2. – Declarations in Writing – The declarations of funds should be in writings with the presentations of evidence such as receipts, invoice, etc.
Sec. 3. – Banking – The method for safekeeping the profits or association’s monies is banking processing. The funds should be delivered to the banks for safekeeping and savings.
Sec. 4. – Funds Withdrawal – The funds withdrawal from the bank should be supported by signatures of four (4) blackbelts from different Chapters and treasurer for accounting purposes, not the President. The President’s only job is to request and accept the funds after withdrawal. The withdrawal should be in deliberation before it will proceed or affect the withdrawal. This is to avoid controversy of the leadership.
Sec. 5. – Electronic Payment System – LEKCi Leadership will assign an IT Manager to create a nationwide system for payment of student fee, registration and membership fees, profits from LEKCi souvenir’s such as mugs, shirts, hoodies, articles/books, uniforms, tournaments proceeds, etc. Proper Funds Accountability, Reports, and Financial Statements are necessary and MANDATORY.
Payment for Instructors (still pending for deliberations of the leadership) will get their teaching fee from the HQs and it depends on how many students they would have in their original dojo. This system will avoid funds controversy.
Payment to Belting Promotion will be announced by its Chairman. This is to include registration for promotion, price of belt (colored to blackbelt), certificate or diploma, and talent fees for the promoter.
Sec. 6. – Unexplained LEKCI Funds / Illegal taking of the LEKCI Funds – Any illegal taking of funds or without informing the Board, Founders, and current President will be punishable with this section. The Officers who are leaving should declare and sign any documents pertaining to association funds. This is to include the copies of yearly audit signed and cleared by the LEKCI Auditor, a copy of original receipts of all supplies and equipment used by the previous officers, and the inventory copies of all supplies and equipment owned by the LEKCI / LEMMAI / LEKCI that have been properly turned-over to the next President or LEKCI Officer in-charge. If the illegal taking of funds occurs or will happen, the termination decision is the last course of action.
Article XI: Rules for Absentee
Sec. 1. – Absentee Grants– All LEKCi Members have the rights to be granted an absence during the mandatory training, seminar, and other related association’s events/activities provided an absentee will furnish a written copy of why he or she cannot attend an event.
Sec. 2. – Executives and Blackbelts – The Executive officers and blackbelts can make absences during meetings due to work, family problems, financial problems, and other unavoidable circumstances, provided, that he or she will submit a written notice of excuse, doctors’ certification, proof of financial hardship, and other evidence within 10 days after the meeting to the Secretary General or Treasurer for accountability and proper recording. After 10 days, officers or blackbelt/s who are absent will incurred a PENALTY of Php 50.00 (only in the Philippines), $ 20.00 (only in Jeddah), and $50.00 (only in the USA).
Sec. 3. – Absentee’s fee – The money collected will be put to LEKCi Funds/Banks for future use.
Sec. 4. – Reasoning – The reason for this is to avoid absenteeism within the ranks of blackbelts, especially the executive officers and its importance.
Article XII: Promotions
Sec. 1. – Chapter Dojos – LEKCi Chapter Dojos has the right to conduct a promotion for colored belts “ONLY.” The chapter instructors are obliged to report the promotion to the President and to the Chairman of Belting Promotion30 to 60 days before the promotion proper.
Sec. 2. – Chapter Dojos for Blackbelts– Lekci Chapter Dojos will not or shall not promote blackbelts. Chapters are not authorized to conduct “BLACKBELTS PROMOTIONS” without the presence of the Committee on Promotions headed by senior officers.
Sec. 3. – Headquarters – The Lekci Headquarters were the “ONLY AUTHORIZED” to promote blackbelts with the recommendations of the Chapter’s Dojo/Chief Instructors, only after conducted a Standard Brown Belt Promotion Procedure and Requirements to go to next higher rank (Blackbelt).
Sec. 4. – Ethics / Actions– The Lekci Chapter Chief Instructors/Founders/President shall follow FSKA/LEKCi Standard Promotions without “PALAKASAN or KUMPADRE System.
Article XIII: Chapter DOJO Instructor’s Rotation
Sec. 1. – Rotation – The Chapter Dojo Chief Instructor/Instructor will rotate every month to another Chapter Dojo.
Example:
If Sensei Bong Lopez trained his people in Cavite for the month of October 2020, he will be training the dojos in Laguna for November 2020 for the whole November. Article XIV: Rules of Order
Sec. 1. – Rules of Order– This Law Enforcers Karate Club International organization shall be governed by the Securities and Exchange Commission’s procedures and policies, as well as Lekci’s mandated and promulgated law.
Sec 2. – Membership Termination, Cancellation, Separation – The Law Enforcers Karate Club International’s Board of Director/s/ President will recommend and execute the members termination, cancellation, or separation in any violations of all rules and policies in this Lekci, Inc., Constitution and By-laws.
ARTICLE XV: Fiscal Year
Sec. 1. – Fiscal Year – The fiscal year of the corporation shall be the calendar year.
ARTICLE XVI: Amendments and Seal
Sec. 1. – Amendments– These by-laws or any of the provisions thereof may be amended or repealed by the members and by the majority vote of the directors and the power to do the same may be delegated by the members to the Board of Directors.
Sec. 2. – Seal – The corporation seal shall be determined by the Board of Directors.
